Terms of Service

1. Agreement and operator

These Terms of Service are an agreement between you and ProInstincts Enterprises, Inc., the operator of Phasoric ("Phasoric," "we," "us," or "our"). By accessing or using Phasoric, you agree to these Terms, the Acceptable Use Policy, and any addendum that applies to the features or organization through which you use the service. If you use Phasoric for an organization, you represent that you have authority to bind that organization.

You must be able to form a binding contract where you live. A person who cannot form that contract may use an organization-authorized education experience only under the organization's direction and the Education Data Addendum.

2. The service

Phasoric is a local-first Markdown knowledge workspace with optional hosted storage, synchronization, collaboration, signing, exchange, automation, developer, and intelligence features.

  • Local-only use: Core editing and supported local processing can run in the browser without a hosted account. Local data can be lost through device failure, browser-data clearing, origin changes, or cache eviction, so you are responsible for maintaining suitable exports or backups.
  • Connected storage: You may connect an external provider or explicitly map a vault to Phasoric Hosted. Storage mode is selected per vault and is not changed merely by creating an account.
  • Preview features: Beta, preview, or experimental features may change or be withdrawn and are provided without a production-availability commitment.

3. Accounts and security

You must provide accurate account information, keep credentials and recovery channels secure, and promptly report suspected compromise. You are responsible for activity performed through your account unless caused by Phasoric's breach of these Terms. Organization owners and administrators may manage membership, access, workspace policy, and organization-controlled data as described in the Account Ownership Policy.

4. Your content and instructions

You retain ownership of content you submit or connect. You grant Phasoric a limited license to host, copy, transmit, transform, and display that content only as needed to provide, secure, support, and improve the features you direct us to perform. You represent that you have the rights and authority needed for the content and instructions you provide.

We do not claim ownership of generated output. Output may be inaccurate, incomplete, non-unique, or subject to third-party rights. You must review output and remain responsible for how it is used.

5. Human review and regulated decisions

Phasoric provides organization and decision-support tools, not legal, medical, financial, employment, educational-placement, or other professional advice. AI-generated recommendations, document changes, signatures, classifications, grades, placement suggestions, and consequential actions require an authorized person's review. You are responsible for deciding whether an electronic signature method, record, or workflow satisfies the law and evidentiary requirements that apply to your transaction.

6. Paid services

Paid subscriptions, metered services, credits, taxes, cancellation, and refunds are governed by the Billing, Cancellation & Refunds policy and the order or checkout terms shown when you purchase. If an order conflicts with these Terms, the order controls only for the commercial terms it expressly changes.

7. Acceptable use and suspension

You must follow the Acceptable Use Policy. We may restrict or suspend access when reasonably necessary to prevent harm, protect the service or another person, comply with law, address nonpayment, or investigate a credible violation. When circumstances permit, we will give notice and an opportunity to cure. We may remove hosted content that violates these Terms or applicable law.

8. Privacy and data processing

The Privacy Policy describes our handling of personal information. The Data Processing Addendum is incorporated into these Terms when Phasoric processes personal data on behalf of a customer. The Education Data Addendum also applies when an authorized institution uses covered education workflows.

9. Intellectual property

Phasoric, its software, branding, and service materials are protected by intellectual-property laws. Except for rights expressly granted in these Terms or an applicable open-source license, no rights are transferred to you. Feedback may be used without restriction or payment, but we will not identify you publicly as its source without permission.

10. Service changes and termination

We may change the service as it evolves. The Service Continuity Statement describes portability and our approach to material discontinuation. You may stop using local-only features at any time, cancel a subscription, or request permanent hosted-account deletion. Deletion does not automatically remove copies held by a connected provider or another organization with an independent right to retain them.

11. Disclaimers

To the fullest extent permitted by law, Phasoric is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that local browser storage, a connected provider, generated output, or a third-party integration will remain available or preserve data. Rights that cannot lawfully be disclaimed remain unaffected.

12. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Phasoric's total liability arising from the service will not exceed the greater of US $100 or the amount you paid Phasoric for the affected service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited or to liability that cannot lawfully be limited.

13. Governing law and disputes

These Terms are governed by the laws of South Carolina, USA, without regard to conflict-of-law rules. Courts located in South Carolina have exclusive jurisdiction, except where mandatory consumer law gives you a different right. Before filing a claim, each party will try in good faith for 30 days to resolve it after written notice to legal@phasoric.com.

14. Changes and general terms

We may update these Terms. Material changes will be posted with a new version and effective date and, when reasonably practicable, notified through the service or account email before they take effect. Continued use after the effective date constitutes acceptance where law permits; we will request affirmative acceptance when required. If any provision is unenforceable, the remainder stays effective. These Terms and incorporated policies are the entire agreement unless a signed order or addendum says otherwise.
